[email protected] IMPORTANT NOTICE These Terms govern access, through Bliim, to wallet, stablecoin and conversion functionalities between supported assets and fiat currency. Bliim provides the interface and technology access layer. Where an activity requires custody, issuance, purchase, sale, redemption, conversion, settlement, transmission of value or another regulated capability, that activity will be performed by the applicable enabled partner, subject to its eligibility requirements, terms, licences and jurisdictional availability.

Stablecoins and transactions on blockchain networks involve risks that differ from traditional banking products. They are not Bliim bank deposits, their value may fluctuate and certain transfers may be irreversible.

1. Scope and Relationship with Other Terms

These Wallet, Stablecoin & Fiat Conversion Terms (the “Product Terms”) supplement Bliim’s General Terms of Use and govern only the functionalities described in this document that are enabled for you.

The Privacy Policy, Acceptable Use and Prohibited Activities Policy, E-Sign and Electronic Communications Notice, fee and risk disclosures, jurisdictional annexes and the terms of the partner providing the relevant activity may also apply.

If a functionality requires a direct contractual relationship between you and a partner, you must accept that partner’s terms before using the functionality. Acceptance of these Product Terms does not replace that acceptance.

In the event of inconsistency, applicable mandatory law prevails; thereafter, with respect to the specific subject matter, the partner terms governing that partner’s own activity and these Product Terms apply; and Bliim’s General Terms of Use govern the general relationship with Bliim.

2. What Bliim Provides

Bliim Global LLC (“Bliim”) provides a technology interface that may allow you to view supported balances or assets, initiate instructions, access conversion functionality and use other enabled services within the application.

Bliim does not accept bank deposits or custody user funds or stablecoins for its own account. Bliim also does not itself issue, guarantee or back a stablecoin unless a future functionality expressly states otherwise in specific terms and only after the relevant legal and regulatory structure has been established.

The entity that holds, custodies, purchases, sells, converts, redeems, transmits or settles funds or assets will be identified in the applicable documentation or interface where appropriate. Availability of a partner does not mean that all of that partner’s services are available to every user.

3. Eligibility and Jurisdictional Availability

You may use these functionalities only if they are enabled for your applicable country of residence, location, profile, product, partner, asset, network, currency, payment rail and corridor.

Bliim or the relevant partner may require verification of identity, residence, age, eligibility, source or destination of funds, sanctions, fraud or other controls before or during use of the service.

A jurisdiction supported for onboarding does not necessarily mean that every stablecoin, network, conversion, transfer, corridor or payment method is available there. Bliim may apply geolocation controls, country gating or other reasonable restrictions.

You must not use mechanisms intended to conceal or misrepresent your residence, location, identity or eligibility, or attempt to access functionality restricted for your jurisdiction.

4. Wallet and Nature of Balances

Where Bliim displays a “wallet” , balance or position, that functionality is a technology access and display interface and may reflect funds or assets held, custodied, recorded or processed through one or more partners, depending on the architecture actually enabled. The terminology used in the application does not alter the legal nature of the asset, account or wallet and does not by itself make Bliim a custodian, issuer or deposit-taking institution.

A displayed balance may be subject to pending transactions, reversals, adjustments, fees, validations, network availability, settlement timing and partner controls. A visible balance is not, by itself, evidence of final settlement.

Ownership, custody, control of keys where applicable, redemption rights and treatment of assets depend on the asset, technical configuration and applicable partner. Where an account, wallet, address or record is maintained or provided for you by a third party, your rights and obligations vis-à-vis that third party are governed by its terms. Bliim will not state that a user controls private keys, or that a wallet is custodial or non-custodial, unless that characteristic reflects the technical architecture actually implemented and has been validated for the applicable product.

5. Stablecoins and Supported Assets

Bliim may facilitate access only to the stablecoins, fiat currencies, networks and other assets expressly shown as supported for your account, product and jurisdiction. Availability may be determined or changed by Bliim or by the partner controlling the relevant asset, service or infrastructure and may change for legal, regulatory, contractual, risk, liquidity, technology or availability reasons. Prior inclusion of an asset or network does not create a right to its continued availability.

For purposes of these Terms, a “Stablecoin” is a digital asset supported by the Platform whose structure seeks to maintain or reference value relative to a fiat currency or other reference asset, according to the conditions of its issuer and the applicable partner. That objective is not a guarantee that the reference value will be maintained indefinitely or that the asset can be purchased, sold or redeemed at all times, in every jurisdiction or through every platform.

Bliim does not provide investment, tax, legal or financial advice regarding stablecoins. Availability of a stablecoin in the application is not an investment recommendation, endorsement or representation that it is suitable for your circumstances.

Unless a future legally enabled and documented product expressly provides otherwise, Bliim will not present a Stablecoin as a savings product, investment, security, source of interest, yield or return, or state that the user has rights to reserves, returns or income associated with the asset.

Unless a specific disclosure states otherwise, a stablecoin is not legal tender, is not a Bliim bank deposit and is not covered by deposit insurance provided by Bliim.

6. Supported Blockchain Networks

Each stablecoin or asset may be enabled only on specified blockchain networks. Before initiating a transaction, you must verify that the asset, network and destination address are compatible and expressly supported.

Sending an asset to an incorrect address, an unsupported network, using an unsupported token or failing to satisfy a technical minimum may result in permanent and unrecoverable loss. Bliim cannot guarantee recovery of incorrectly sent assets.

Blockchain networks may experience congestion, forks, reorganizations, delayed validations, protocol changes, vulnerabilities, attacks, interruptions, fee variations or other events outside Bliim’s reasonable control.

7. Conversion Between Stablecoins and Fiat Currency

Where enabled, you may request conversion between a stablecoin or supported asset and fiat currency, or between other expressly available pairs. The transaction will be executed or facilitated by the applicable partner in accordance with the product architecture.

Before confirming a conversion, the application may display the asset delivered, the asset or currency received, the applicable exchange rate or price, fees, spread or other relevant costs and, where possible, the estimated amount to be received.

A quote may have limited validity. If it expires or conditions change before execution, a new quote or confirmation may be required. The price available in Bliim may differ from prices observed on third-party markets or platforms.

Confirmation of an instruction does not necessarily mean that the transaction has reached final settlement. Final status depends on the applicable partner, payment rail, blockchain, bank, custodian or settlement system.

8. Orders, Execution and Finality

You are responsible for carefully reviewing all information before confirming an instruction. Once transmitted or executed, a transaction may not be cancellable, reversible or recoverable.

Bliim or the applicable partner may reject, delay, limit, cancel or review an instruction where required by compliance controls, sanctions, fraud, security, limits, network or corridor unavailability, errors, liquidity, legal requirements or partner rules.

Displayed processing times are estimates unless expressly stated otherwise. Bliim does not control confirmation times of a blockchain, intermediary banks, payment networks or independent third parties.

9. Deposits, Withdrawals and External Transfers

Where functionality allows assets to be received from or sent to a wallet, bank account or other external address, you must use only instructions, addresses, references, networks and payment rails expressly enabled.

Bliim may impose minimums, maximums, daily or aggregate limits, waiting periods, additional verifications and jurisdictional or risk restrictions. Those limits may vary between users and products.

External transfers may be subject to regulatory requirements relating to screening, traceability, information sharing and recordkeeping that apply to the relevant partner, product, asset, transfer or jurisdiction. Where appropriate, Bliim or the applicable partner may require information regarding the originator, beneficiary, wallet, account, purpose, source or destination of funds and other data necessary to execute the transaction or satisfy those controls.

10. Fees, Spreads, Network Fees and Taxes

Fees applicable to a transaction will be disclosed before confirmation or through the then-current disclosure. A transaction may include fees charged by Bliim, the partner, the payment rail, the blockchain network or other third parties, where applicable.

Network fees may vary and, in some cases, be determined by network conditions. Spreads or conversion rates may vary according to the product, market, liquidity, partner and time of execution.

You are responsible for determining and satisfying your personal tax obligations, except for reporting, withholding or collection obligations expressly assigned by law to Bliim or the partner.

11. Specific Risks

By using these functionalities, you acknowledge, to the extent permitted by law, that technological, operational, regulatory and market risks may affect a stablecoin, blockchain, wallet or conversion.

These may include, among others: loss of peg or liquidity; insolvency or failure of an issuer, custodian or other third party; regulatory changes; suspension or delisting of an asset or network; smart-contract or protocol vulnerabilities; address or network errors; cyberattacks; forks; congestion; delays; outages; corridor unavailability; and partial or total loss of value.

Regulation of stablecoins and digital assets continues to evolve and may change the availability, nature, transferability, treatment or conditions of a product. Bliim may modify or withdraw functionality where necessary to maintain lawful and controlled operations.

12. AML, Sanctions, Fraud and Prohibited Activity

These functionalities may not be used for money laundering, illicit financing, sanctions evasion, fraud, concealment of source or destination of funds, transactions on behalf of unauthorized third parties, manipulation, illegal activity or any conduct prohibited by the Acceptable Use and Prohibited Activities Policy.

Bliim and applicable partners may perform screening, monitoring, reviews and information requests before, during or after a transaction. A transaction may remain pending or be rejected where necessary to complete those controls.

Where law prohibits disclosure of the existence or nature of a review, investigation, report or request, Bliim may limit the information provided to the user.

13. Suspension, Delisting and Changes in Support

Bliim may suspend or withdraw support for an asset, network, currency, corridor or functionality where the partner ceases support, regulation changes, a material risk arises, a security incident occurs or action is necessary to protect users or comply with legal or contractual obligations.

Where reasonably possible and legally permitted, Bliim will seek to provide notice and, where appropriate, instructions to withdraw, convert or otherwise manage an asset before permanent suspension. In urgent situations, support may be suspended without prior notice.

Continuity of a stablecoin or network depends on third parties and cannot be guaranteed by Bliim.

14. Errors, Unauthorized Transactions and Complaints

If you identify a transaction that you believe is incorrect or unauthorized, you must report it immediately through available support channels. Applicable rights, deadlines and error-resolution mechanisms depend on the nature of the transaction, the partner and applicable law.

A dispute concerning issuance, custody, purchase, sale, redemption, conversion or settlement performed by a partner may be subject to that partner’s procedures. Bliim will facilitate routing of the complaint where appropriate, without thereby assuming obligations that legally belong to the third party.

Where Bliim acts as the initial support channel for functionality provided through a partner, Bliim may receive, register and route enquiries, errors or complaints to the relevant third party and retain records necessary for case management.

This support mechanism does not alter the legal allocation of responsibilities between Bliim and the partner.

Formal complaints against Bliim will be handled under the Complaints Policy and applicable jurisdictional annexes.

15. Liability

Bliim is responsible for obligations directly attributable to the technology layer and services that it provides, subject to these Terms and applicable law. Bliim does not assume obligations that legally or contractually belong to a stablecoin issuer, custodian, bank, payment provider, blockchain, network or other independent third party.

To the maximum extent permitted by law, Bliim will not be liable for losses arising exclusively from: incorrect instructions supplied by the user; transfers to unsupported assets, networks or addresses; decisions or failures of independent third parties; fluctuations in value or loss of peg of a stablecoin; blockchain congestion or failure; or events outside its reasonable control.

Nothing in these Terms excludes liability that cannot validly be excluded, including mandatory consumer rights and any liability for fraud, willful misconduct, gross negligence where non-waivable, death or personal injury where applicable.

16. Data Protection

Processing of personal data relating to these functionalities is governed by Bliim’s Privacy Policy and applicable partner notices or policies.

To execute transactions, verify identity, prevent fraud, comply with sanctions, perform monitoring, provide support and satisfy legal or contractual obligations, Bliim may transmit necessary data to partners, providers, banks, custodians, payment providers and other authorized participants in accordance with applicable law.

17. Amendments

Bliim may amend these Terms to reflect legal, regulatory, technological, operational, product or partner changes.

Where a change is material, Bliim will provide any notice required by applicable law and obtain renewed acceptance where required.

The current version will be available in the application or Bliim legal center. Bliim will retain evidence of versions and acceptances in accordance with its electronic-contracting controls.

18. Governing Law and Jurisdictional Annexes

These Terms are intended for global use but do not displace mandatory rules applicable to the user. Governing law, forum, complaint mechanisms and additional disclosures may be set out in the applicable jurisdictional annex.

Where a product is not legally enabled in a jurisdiction, these Terms do not constitute an offer and do not create a right to demand its availability.

19. Contact

Support: [email protected] Legal: [email protected] Specific partner channels, formal complaint channels or transaction-specific channels may be identified in the application, transaction receipt or applicable terms.

20. Acceptance

By selecting the applicable acceptance mechanism and using wallet, Stablecoin or fiat-conversion functionality, you confirm that you have had access to these Terms, understand the nature of the service and agree to be bound by them and the applicable additional documents. Bliim may retain reasonable evidence of acceptance, including document version, date and time, user identifier and other logging data permitted by applicable law.

Where functionality requires direct partner terms, privacy policy, disclosures or consents, Bliim must not enable access to that functionality until the required acceptance or presentation has been completed and applicable eligibility controls are satisfied. Acceptance may be associated with the contractual record or technical identifier required by the partner to evidence onboarding.
