1. Purpose
USR-002 establishes the conditions under which Bliim may deliver contracts, terms, notices, statements, confirmations, disclosures, receipts and other communications electronically and obtain an electronic acceptance or signature where applicable. Its purpose is to ensure that use of the electronic channel is informed, verifiable, technically accessible and legally attributable, without treating mere use of the app as consent for matters requiring a separate affirmative manifestation.
2. Scope
It applies to Bliim Account, onboarding, card programs, wallet/stablecoin, fiat-digital asset conversion, virtual/local account details, cross-border, BliimPay/P2P, ticketing, BChat/Blia where applicable, support and any future product delivering legally relevant information through app, web, email, SMS, push, portal, partner-hosted flow or another approved channel. Scope is determined by Product x Country x Customer Type x Partner x Legal Entity x Communication Type.
3. Nature, Hierarchy and No Duplication
USR-002 is a consent and implementation control; it does not replace USR-001, Card Terms, issuer E-Sign notices, partner terms, privacy notices, marketing consent, transaction disclosures, APP-001, ARC-013, DAT, REG or GATE-002. The specific obligation requiring writing, signature, durable medium, prior consent or a particular form prevails over this baseline. Partner terms do not replace Bliim terms and vice versa.
4. Functional-Equivalence Principle
A communication or acceptance does not lose effect merely because it is electronic where applicable law recognizes functional equivalence and its requirements are met; however, electronic record, electronic signature, qualified electronic signature and durable medium are not interchangeable concepts. Bliim will apply the standard applicable to the specific obligation and will not state that a checkbox is universally equivalent to a handwritten signature.
5. Controlled Definitions
Electronic Communication is information sent or made available electronically. Electronic Record is information created, generated, sent, communicated, received or stored electronically. Electronic Signature is an electronic process, symbol or action legally attributable to the signatory under the applicable regime. Durable Medium is a medium that, where required, allows the user to store information addressed personally to that user, access it for an adequate period and reproduce it unchanged. Affirmative Consent requires a verifiable positive action; it is not inferred from silence, passive browsing or a preselected box.
6. Consent to Conduct Business Electronically
By accepting USR-002, the user consents to receive electronically the Communications within the approved scope and, where law permits and the flow so provides, to enter into agreements electronically or manifest acceptance through the recorded action. This consent does not expand Bliim's regulated activity, alter mandatory rights or authorize a channel prohibited by a specific rule.
7. Categories of Covered Communications
They may include: Terms and amendments; privacy and security notices; account and product disclosures; KYC/KYB notices; card/issuer/program documents; statements; transaction confirmations and receipts; fees/FX notices; error/complaint communications; suspension/closure notices; regulatory disclosures; tax or reporting documents where legally appropriate; partner documents; and other records expressly incorporated into scope. Each category must be mapped to source, owner, delivery method and evidence.
8. Delivery Methods
Bliim may use one or more approved channels, such as email, in-app inbox, secure web portal, downloadable file, app/web screen, partner-hosted portal, SMS or push where content and law permit. A truncated push, ephemeral banner or generic link will not be used as the sole medium where information must be retainable, durable or delivered in a specific form.
9. Access, Retention and Reproduction
The user must be able to access and retain Communications in the form required by the applicable obligation. Where a retainable or durable form is required, the design must allow download, storage or later retrieval of the version actually delivered and reproduction without material alteration.
ARC-013 and the evidence repository will retain document ID, version, hash, delivery event and acceptance event.
10. Hardware and Software Requirements
Before obtaining consent where the applicable regime requires it, Bliim will disclose the requirements reasonably necessary to access and retain Communications: compatible device, supported operating system/browser, connection, access to email or app, software to open files where applicable and storage/download capability. Final wording must reflect the actual architecture and must not invent unconfirmed minimum versions.
11. Demonstration of Ability to Access
Where required by law, consent will be obtained electronically in a manner that reasonably demonstrates that the user can access the electronic form that will be used. Legal and Product will define the applicable test -for example, opening the document/link or an equivalent interaction- and retain evidence of the result without adding unnecessary friction inconsistent with the legal standard.
12. Contact Information and Valid Channels
The user must keep information necessary for delivery current. Bliim will provide a reasonable mechanism to update email, phone or other contact points. A delivery failure, bounced email, invalid token, expired link or inaccessible document must trigger the retry, fallback or escalation logic defined for the Communication, without presuming successful delivery.
13. Paper Copies
Where applicable, the user may request a paper copy of a Communication. Availability, request channel, timing and any fee must come from law, Terms, issuer/partner terms and actual configuration. No fee will be published by analogy or as a partner cost; any fee must be reconciled with USR-007 and production evidence.
14. Withdrawal of Consent
The user may withdraw electronic consent where applicable law or agreement permits. The interface must explain how to withdraw, when withdrawal becomes effective and which Communications or services are affected. Withdrawal does not retroactively invalidate communications or signatures validly completed before effectiveness. Where a product cannot lawfully be provided without electronic communications and no permitted alternative exists, the consequence must be explained before withdrawal.
15. Consequences and No Improper Retaliation
Consequences of withdrawal must be objective and tied to the product's actual requirement. Bliim will not condition a service on optional consents or use withdrawal of marketing consent as a basis to close a product that does not depend on that consent. If a partner validly requires electronic delivery as a contractual condition, the restriction must be identified as partner/product-specific and its source retained.
16. Electronic Signature and Affirmative Action
Where an action such as a checkbox, click, typed name, OTP, hosted acceptance or advanced signature is used to manifest intent, the system must record which action produced the effect, which document was shown, who acted, with what authority where a business is involved, and sufficient technical evidence for attribution. The chosen form must be appropriate to the obligation and risk; a simple mechanism will not be marketed as a qualified electronic signature unless it meets that regime.
17. Consent Event and Evidence Ledger
Each material acceptance must be reconstructable. The minimum event model includes: agreement_event_id; user/business ID; customer type; product; jurisdiction; partner and legal entity; document ID/name/version/effective date/hash; language; displayed URL/evidence URI; accepted_at UTC; acceptance method; checkbox state; proportionate session/device metadata; IP where lawful and necessary; source flow; partner IDs; withdrawal/reacceptance link; and evidence location. Minimization and retention are coordinated with DAT.
18. Do Not Confuse E-Sign with Marketing Consent
USR-002 authorizes the electronic channel for covered Communications; by itself it does not constitute consent to advertising, behavioral advertising, optional marketing, automated promotional calls/texts or any other purpose requiring a separate legal basis or consent. APP-002 and DAT control marketing claims, preferences and privacy basis. UX must separate boxes where legal separation is required.
19. Mandatory, Service and Optional Communications
Legal/Product will classify each template as mandatory legal/regulatory, contractual/service, security/fraud, transactional, support, marketing/optional or another controlled category. Opt-out from an optional category must not block mandatory or security notices. Suppressing service messages because of a marketing preference is prohibited where it would create noncompliance or material risk.
20. Multiple Products, Partners and Entities
A Bliim consent will not automatically be interpreted as consent for an independent entity, issuer, bank, card program, custodian or partner. If the service chain requires a third-party notice or consent, it must be presented with the exact identity and in the required sequence. The system will record which entity originated or received the acceptance and which contractual relationship it covers.
21. Rain U.S. Consumer - E-Sign Sequence
For the Rain U.S. Consumer route identified in current evidence, the E-Sign Consent must appear as a standalone checkbox before the other agreements. Rain material then requires the Account Opening Privacy Notice, Card Terms + Issuer Privacy Policy, accuracy/rules certification and unauthorized solicitation acknowledgement. Final wording and links must be reconciled against current Rain material before production; the full E-Sign template linked by Rain remains TO CONFIRM in the current Data Room.
22. Rain International Consumer, Business and Authorized User
International Consumer must use its own sequence and must not automatically copy the U.S. Account Opening Privacy Notice. Current evidence requires standalone E-Sign first, Card Terms + Issuer Privacy, certification and unauthorized solicitation acknowledgement. Business follows an equivalent architecture after KYB under Rain materials, while an Authorized User uses a separate agreement where applicable. Each program route requires its own approval/evidence.
23. Rain - Onboarding Retention and Approval
Reviewed Rain materials require recording and verifying acceptance of agreements for every sign-up and retaining that record for no less than five years; changes to sign-on/sign-up language or interface must be notified to Rain Legal and receive explicit approval before implementation. Rain also requires a final review and screen-recorded end-to-end demo for each program. These obligations are partner-specific and are not generalized to all Bliim products.
24. United States - E-SIGN Act
For transactions in or affecting interstate or foreign commerce, 15 U.S.C. § 7001 generally recognizes the validity of electronic records and signatures. Where a law requires certain information to be provided or made available in writing to a consumer, electronic delivery may require clear and conspicuous consumer disclosures, information concerning paper/withdrawal/scope/procedures/copies/fees, hardware/software requirements and electronic consent in a manner that reasonably demonstrates access to the form that will be used. USR-002 implements this baseline only where the requirement applies.
25. United States - Technology Changes and Reconsent
If, after consent, hardware or software requirements change in a way that creates a material risk that the consumer can no longer access or retain electronic records subject to the applicable regime, Bliim must activate an appropriate change notice/reconsent control. The change will be versioned under GATE-002 and may not be handled through a silent footer update or unaudited configuration.
26. United States - Payments and Credit Overlays
USR-002 does not presume that all Regulation E or Regulation Z rules apply to Bliim. Where product/perimeter analysis determines applicability, EFT, remittance or credit disclosures must satisfy their specific form, timing and retainability rules. Certain remittance rules permit specified electronic disclosures without applying the consumer-consent portion of E-SIGN, while others remain subject to E-SIGN; accordingly, UX is designed by disclosure rather than through a global rule.
27. Spain / EEA - eIDAS and Electronic Signatures
In the EEA, the eIDAS Regulation, under its consolidated text and current amendments, prevents denial of legal effect or admissibility solely because a signature is electronic or not qualified, and gives a qualified electronic signature the equivalent legal effect of a handwritten signature.
This does not mean every clickwrap acceptance is a qualified electronic signature or that an electronic signature automatically satisfies independent consumer-information, durable-medium or financial-sector requirements.
28. Spain / EEA - Durable Medium and Payments
Where product/perimeter analysis activates PSD2 or an equivalent regime, delivery of framework-contract information may require paper or another durable medium, in clear and comprehensible terms and with specific timing. Bliim must verify whether an in-app inbox, downloadable PDF, email, hosted page or other architecture satisfies the applicable requirement; a modifiable webpage without a retention mechanism will not be presumed to be a durable medium.
29. Colombia - Data Messages and Signature
Law 527 of 1999 recognizes the use of data messages and establishes functional-equivalence criteria for writing and signature requirements, together with a specific digital-signature regime. For Bliim, the control must preserve subsequent accessibility, attribution and reliability appropriate to the act. A simple acceptance will not be labeled a certified digital signature unless it actually meets the attributes and requirements of the applicable regime.
30. Mexico - Electronic Commerce and Retention
The Mexican Commercial Code applies principles of technological neutrality, autonomy of will, international compatibility and functional equivalence of data messages and electronic signatures in commercial matters. NOM-151-SCFI-2016 regulates requirements for preservation of data messages and digitization within its scope. Bliim will apply these frameworks to the specific record/act, without assuming that every internal event automatically requires a NOM-151 certificate.
31. Language, Readability and Accessibility
The consent and Communications must use clear language, readable presentation and accessibility compatible with the channel and obligation.
The accepted version must match the language recorded in the consent event. ES/EN mirror requires legal equivalence, not awkward literal translation. Where law or a partner requires specific wording in a particular language, that wording may be retained as authoritative text and accompanied by an informational translation if Legal approves.
32. Security, Authenticity and Anti-Phishing
Material Communications must originate from approved domains, apps, sender IDs or partner channels. Bliim will not request secrets or credentials in a notice that does not require them and must provide verifiable routes for reviewing sensitive documents. Expiring links, redirects and partner-hosted sessions must have proportionate integrity, environment and anti-phishing controls. An incident affecting authenticity triggers SEC-003/004 and, where applicable, GATE-002.
33. Material Changes, Reacceptance and GATE-002
A material change in scope, delivery method, legal entity, partner, hardware/software requirements, withdrawal consequences, document terms, signature method, retention, jurisdiction or mandatory disclosure must be evaluated under GATE-002. Legal will determine whether notice, fresh consent, reacceptance, new partner approval, record migration or grandfathering is required. The decision and its rationale must be versioned.
34. Testing, Monitoring and Historical Reconstruction
Before GO, links, document rendering, download/retention, refusal path, withdrawal, reconsent, language, accessibility, offline/error states, stale document/version, duplicate events, partner redirect, evidence retrieval and route-specific ordering will be tested. It must be possible to reconstruct which consent the user saw, which technical requirements were disclosed, which document was opened, which action was taken, which version was accepted and which Communications were covered.
35. Closure Conditions and Gate
USR-002 is CONDITIONAL FINAL. The text may be approved as an international legal baseline, but there is no automatic Operational GO. The Master Gate remains CONDITIONAL; each route requiring E-Sign remains blocked until the exact consent/document, delivery method, hardware/software disclosure, partner sequence, versioned evidence, withdrawal/reacceptance logic and UAT are closed. Unknowns may not be replaced with favorable assumptions.

Master Data Quality / Internal Consistency 8.6/10 Master Justification/Risk is materially misaligned with the E-Sign objective; issue is preserved and escalated rather than silently corrected.
Legal Architecture 9.8/10 Strong consent, delivery, signature, withdrawal, evidence, partner and change-control architecture.
Regulatory Accuracy 9.7/10 Official U.S., EU/Spain, Colombia and Mexico sources verified; avoids overgeneralizing product-specific rules.
Jurisdictional Coverage 9.6/10 Core launch jurisdictions covered; deeper local product overlays remain REG/counsel tasks.
Partner Allocation 9.4/10 Rain sequences and evidence rules mapped; exact current linked E-Sign notice/final approval remains open.
Consent / Enforceability Architecture 9.8/10 Affirmative action, access, retention, attribution, withdrawal and reconsent controlled.
Evidence Architecture 9.9/10 Detailed consent/delivery event schema supports audit and historical reconstruction.
Implementation Specification 9.7/10 UI copy, controls, tests and route gates specified; production configuration remains untested.
Change Control 9.9/10 Material changes explicitly route through GATE-002 and reconsent analysis.
Historical Reconstructability 9.9/10 Document version/hash, delivery, action and partner references are defined.
Legal Spanish 9.9/10 Institutional legal drafting with precise fintech terminology.
Legal English 9.9/10 Legally equivalent institutional English, not literal translation.
ES/EN Semantic Mirror 10.0/10 35/35 sections and all annex content mirrored by legal effect.
ES/EN Structural Mirror 10.0/10 Same section order, annexes, IDs, tables and row counts.
International Fintech Due Diligence 9.8/10 Product/partner/entity/perimeter dependencies and unknowns explicitly controlled.
International Auditability 9.9/10 Control IDs, evidence schema, tests, closure conditions and open items are audit-ready.
Partner Evidence Completeness 4.5/10 Important partner evidence remains TO CONFIRM, particularly exact current Rain-linked notice and route approvals.
Operational Readiness 4.4/10 No production consent logs, UAT, delivery/withdrawal tests or route-specific release evidence yet.
Overall Structural / Documentary Quality 9.7/10 First-tier institutional baseline, reduced from 10 because master data inconsistency and open partner source evidence remain.
